These Terms of Service (“Terms”) govern your use of the Cadence desktop application (“Cadence,” “the App,” “we,” “our,” or “us”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. Introduction
These Terms of Service (the "Terms") govern your use of the Cadence desktop application (the "App"). The App is operated by Cadence ("we," "our," or "us"). By installing or using the App, you agree to these Terms.
The App is a desktop‑only, local‑storage product. It does not provide cloud storage for your data. All content processed by the App—calendar data, Slack/GitHub/Trello data, documents, tasks, transcripts, screenshots, logs, embeddings, caches—remains stored locally on your device except where noted.
2. Eligibility
You may use the App only if you:
Are at least 13 years old (or the minimum legal age in your jurisdiction), and
Have the authority to enter into these Terms.
3. License to Use the App
Cadence grants you a limited, personal, revocable, non‑exclusive, non‑transferable license to install and use the App for personal or internal business use.
You may not:
Modify, reverse engineer, decompile, or attempt to extract source code
Rent, lease, sell, sublicense, or redistribute the App
Use the App to violate any law or third‑party rights
Interfere with the App’s normal operation
All rights not expressly granted to you remain with Cadence.
4. Local‑Only Operation & Data Storage
The App stores data locally on your device (SQLite DB, files, logs, transcripts, embeddings, caches).
OAuth tokens (Google, Slack, GitHub, Trello) are stored in the OS keychain.
If you uninstall the App or delete its data directory, all local data is removed.
The App does not sync your data to Cadence‑controlled cloud servers.
5. Third‑Party Integrations
The App supports optional integrations. By connecting them, you authorize the App to access and process data locally.
5.1 Google Sign‑In
If used:
We receive your Google email, user ID, and optional profile info.
Used only for authentication inside the App.
We do not receive your password.
This data is not uploaded to Cadence servers.
5.2 Google Calendar (Read‑Only)
Uses the scopes:

This allows the App to read:
Event titles, descriptions, times
Attendees & conferencing links
Calendar metadata (IDs, names, shared calendars)
The App does not:
Create, modify, or delete events
Upload this data to Cadence servers
5.3 Slack, GitHub, Trello
If you connect these:
Slack: channels, DMs, messages, threads, attachments, user/team metadata; optional OCR on images
GitHub: repositories, issues, PRs, comments, metadata
Trello: boards, lists, cards, metadata
5.4 AI Model Providers
AI features may send selected content to external LLM providers (e.g., OpenAI, Anthropic, Groq), including:
Calendar events
Slack/GitHub/Trello content
Transcripts, screenshots, documents, tasks, summaries
You are responsible for ensuring this complies with your workplace or organizational policies.
5.5 Website Scraping (Firecrawl)
If you ingest a webpage:
The URL and page content are sent to Firecrawl for scraping.
5.6 Feedback Uploads
If you submit feedback:
You may attach logs or transcripts
These are uploaded to Cadence servers for support purposes
5.7 Analytics & Error Reporting
The App uses:
PostHog (us.i.posthog.com) — usage analytics, feature flags, device/user ID
Bugsnag — crash reports, stack traces, device info
These services receive data under their own privacy policies.
6. User Responsibilities
You agree to:
Use the App lawfully
Keep your device secure (OS protections, disk encryption, backups)
Ensure you are authorized to connect third‑party integrations and send their data to AI providers
Review and comply with the terms of third‑party services you connect
Because data is stored locally, you are responsible for securing and backing up your device.
7. Updates and Changes
The App may automatically check for updates and download them from Cadence or its update hosts. Continuing to use the App after updates constitutes acceptance of changes.
8. No Warranty
The App is provided “as is” and “as available” without warranties of any kind. We do not guarantee that the App will be error‑free, uninterrupted, secure, or suitable for your needs.
9. Limitation of Liability
To the maximum extent permitted by law:
Cadence and its owners/employees are not liable for indirect, incidental, consequential, or punitive damages.
This includes loss of data, business interruption, integration failures, or AI‑generated inaccuracies.
Our total liability for any claim is limited to the amount you paid for the App (if any).
10. Indemnification
You agree to indemnify and hold Cadence harmless from claims arising from:
Your misuse of the App
Your violation of these Terms
Your use of third‑party data with integrations or AI providers
11. Termination
We may suspend or terminate your license if you:
Violate these Terms
Misuse or attempt to reverse engineer the App
Upon termination, you must:
Stop using the App
Uninstall it
Certain clauses (liability, warranty, indemnity) survive termination.
12. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. Disputes must be resolved exclusively in its courts.
