1. Eligibility

You may use the App only if you:

• Are at least 13 years of age (or the minimum age required in your jurisdiction), and

• Have the legal authority to enter into these Terms.

2. License to Use the App

Cadence grants you a personal, non-exclusive, non-transferable, revocable license to install and use the App on your device for personal or internal business purposes.

You may not:

• Modify, reverse engineer, decompile, or attempt to extract the source code

• Rent, lease, sell, sublicense, or distribute the App

• Use the App in violation of any law or regulation

• Interfere with the App’s normal operation

All rights not expressly granted to you remain with Cadence.

3. No Cloud Service / Local-Only Operation

Cadence is a desktop-only product.

• We do not operate cloud servers for storing or processing your data.

• All application data remains on your device unless you explicitly connect third-party integrations.

• If you uninstall the App or delete its local files, your data is removed from your device.

4. Third-Party Integrations

4.1 Google Sign-In

If you sign in using Google:

• We receive your Google email address and basic profile information.

• This is used solely to authenticate you inside the App.

• We do not receive or store your Google password.

• This information is not sent to Cadence servers, as we do not operate authentication servers.

4.2 Google Calendar Integration (Read-Only)

If you choose to connect Google Calendar:

• The App may read event data using the calendar.events.readonly scope.

• The App does not create, modify, or delete events in your Google Calendar.

• Calendar data is processed locally on your device and is not transmitted to Cadence.

• You may revoke access at any time in your Google Account settings.

4.3 Third-Party Terms Apply

Your use of Google services is subject to Google’s terms and privacy policies.
Cadence is not responsible for third-party services.

5. User Responsibilities

You agree to:

• Use the App only for lawful purposes

• Maintain the security of your device and login credentials

• Ensure compliance with local laws regarding data and privacy

• Not misuse the App or disrupt its functionality

Because the App stores data locally, you are responsible for backing up your device.

6. Updates and Changes

Cadence may provide updates or patches to improve the App. We may also modify features at any time.

By continuing to use the App after an update, you accept the updated version.

7. No Warranty

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied.

We do not warrant that:

• The App will be error-free or uninterrupted

• The App will meet your specific requirements

• The App will be free of viruses or harmful components

You use the App at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law:

Cadence and its owners, employees, and affiliates are not liable for:

• Any loss of data (local or integrated)

• Any damages arising from your use or inability to use the App

• Any issues caused by third-party integrations (e.g., Google services)

• Any indirect, incidental, consequential, or punitive damages

Our total liability for any claim shall not exceed the amount you paid for the App, if any.

9. Indemnification

You agree to indemnify and hold Cadence harmless from any claims, damages, or expenses arising from:

• Your use of the App

• Your violation of these Terms

• Your interaction with third-party services

10. Termination

We may terminate your license to use the App at any time if:

• You violate these Terms

• You misuse or attempt to reverse engineer the App

Upon termination:

• You must stop using the App

• You must uninstall it from your device

All provisions that logically survive termination (liability limits, indemnification, etc.) will remain in effect.

11. Governing Law

These Terms are governed by the laws of:

The State of Victoria, Australia

You agree that any disputes will be resolved exclusively in the courts of that jurisdiction.

12. Changes to These Terms

We may update these Terms occasionally. When we do, we will revise the Effective Date at the top.

Your continued use of the App signifies your acceptance of the updated Terms.
